By accessing or using Checkolo Planner, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

You must be at least 18 years old to use Checkolo Planner, or if you are between 13 and 18 years old, you must have the consent of a parent or guardian. By using our service, you represent and warrant that you meet these age requirements and have the legal capacity to enter into these Terms.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Checkolo Planner for your personal or commercial purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Reverse engineer, decompile, or disassemble any part of the service
• Remove any copyright, trademark, or other proprietary notations
• Transfer or sublicense your rights to use the service

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete information when creating an account
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use
• Be responsible for all content posted under your account

Your Content: You retain ownership of any content you create or upload to Checkolo Planner. By using our service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, copy, modify, and display your content solely for the purpose of providing, maintaining, and improving the service. You are responsible for ensuring you have all necessary rights to post any content you share.

Our Content: All content, features, and functionality of Checkolo Planner, including but not limited to text, graphics, logos, icons, images, and software, are owned by Checkolo Planner or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our prior written consent.

You may not use Checkolo Planner to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit harmful or malicious code
• Spam or harass other users
• Interfere with the service's operation

Pricing: We offer both free and paid subscription plans. Pricing for paid plans is displayed on our pricing page and may change with notice.

Billing: Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method automatically.

Refunds: We offer a 30-day money-back guarantee for paid plans. Refund requests must be made within 30 days of the initial purchase. Refunds are processed within 10 business days.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.

We strive to provide reliable service but do not guarantee uninterrupted, secure, or error-free operation. The service is provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice. We are not liable for any loss or damage resulting from service interruptions or modifications.

Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

Termination by Us: We reserve the right to suspend or terminate your account immediately, without notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect our service or users.

Effect of Termination: Upon termination, your right to use the service will immediately cease. We may delete your account and data, subject to our data retention policies outlined in our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO REPRESENTATION OR WARRANTY REGARDING ANY CHECKLISTS, GUIDES, TEMPLATES, OR OTHER CONTENT GENERATED OR ASSISTED BY AI OR PROVIDED THROUGH THE SERVICE—INCLUDING AS TO ACCURACY, COMPLETENESS, LEGAL OR REGULATORY COMPLIANCE, OR SUITABILITY FOR ANY PARTICULAR PURPOSE. YOUR USE OF AND RELIANCE ON SUCH CONTENT IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHECKOLO PLANNER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

WITHOUT LIMITING THE ABOVE, WE SHALL NOT BE LIABLE FOR ANY LOSSES, CLAIMS, OR DAMAGES ARISING FROM YOUR RELIANCE ON OR USE OF AI-GENERATED OR PLATFORM-PROVIDED CHECKLISTS, GUIDES, OR OTHER CONTENT—INCLUDING BUT NOT LIMITED TO BUSINESS LOSSES, REGULATORY OR COMPLIANCE FAILURES, LEGAL EXPOSURE, OR FAILURE TO MEET ANY LEGAL, TAX, OR PROFESSIONAL OBLIGATION. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING INFORMATION AND OBTAINING APPROPRIATE PROFESSIONAL ADVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Checkolo Planner, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (1) your use of the service, (2) your violation of these Terms, (3) your violation of any third-party right, including any intellectual property or privacy right, (4) any content you post or transmit through the service, or (5) your reliance on or use of any checklists, guides, or other content generated or assisted by AI or provided through the service—including any claim that such use or reliance caused business loss, non-compliance with law or regulation, or other harm.

Informal Resolution: Before filing a claim, you agree to contact us at contact@checkolo.com to attempt to resolve the dispute informally. We commit to working with you in good faith to resolve any issues.

Binding Arbitration: If we cannot resolve a dispute informally, you agree that any dispute arising out of or relating to these Terms or the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court. The arbitration will be conducted in English and the arbitrator's decision will be final and binding.

Class Action Waiver: You agree that any disputes must be brought on an individual basis and waive any right to participate in a class action or representative proceeding.

Exceptions: This arbitration agreement does not apply to disputes that may be resolved in small claims court or disputes involving intellectual property rights.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Checkolo Planner operates, without regard to its conflict of law provisions. For international users, local consumer protection laws may apply in addition to these Terms.

Any legal action or proceeding arising under these Terms will be brought in the appropriate courts, and you hereby consent to the personal jurisdiction and venue of such courts.

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or government actions.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

These Terms, together with our Privacy Policy and any other legal notices published by us on the service, shall constitute the entire agreement between you and Checkolo Planner concerning the service and supersede all prior agreements and understandings.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a prominent notice on the service. Your continued use of the service after changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the service.
